Dear Member,
Following checks carried out with the help of our tax advisor, we found that it is absolutely necessary to supplement the statutes of the association with certain specific provisions in existing legislation essential to keep the status of a non-profit association and, in consequence of amendments to the statute should also proceed with the amendment of the regulations approved Minutes of Shareholders' January 28, 2007. In particular, we must make the following changes: •
the regulations adopted by act of the notary Antonio Carannante 1 May 1998, rep. 32100, rec. 6164, registered in Naples on 11 / 05/1998 at No. 71.
or art. 5 add: "the odds are not transferable except in cases of death and transfers are not subject to revaluation. E 'is forbidden to distribute, even indirectly, profits or operating surpluses as well as funds, reserves or capital during the life of the association, unless the use or distribution is required by law.
or art. 18 add: " The remaining assets of the institution should be devolved to association with similar purposes or for public purposes, after the monitoring authority under Article 3, paragraph 190 of Law No. 12/23/1996 662.
• Regulation approved by the shareholders' meeting minutes of May 1, 2008:
or art. 2 delete the first paragraph and change the 2nd, to which Article 2 is as follows: art.2 Transmissibility. In case of death of the member, the heirs may designate a single entity to divert the associated condition selected from the spouse, parent, child, son of the son (grandson Abbiatico), brother, brother's son (nephew).
Therefore, the Board has the shareholders' meeting convened to approve the changes mentioned above for the day March 14 at 9 am on first call, and possibly, on March 21 at 9 am always on second call, at the Circle Club in Naples via Rome .
